These terms and conditions (“Terms”) constitute an agreement with Shamrock Foods Company (“Shamrock”) regarding your use of this website (the “Website”). Additional terms and conditions of use applicable to specific areas of the Website may also be posted on the Website and are incorporated herein by reference, as applicable. 

Modification.

Shamrock reserves the right to change or modify all or any part of this agreement at any time, effective upon notice published on the Website. It is your responsibility to check periodically for any changes we may make to these Terms. Your continued use of this Website following the effective date of changes to these Terms or other policies means you accept and consent to the changes.    

Applicability.

The Website is available only to individuals and entities that can form legally binding contracts under applicable law. By using, viewing, transmitting, caching, storing and/or otherwise utilizing the Website, YOU HAVE AGREED TO, AND ARE LEGALLY BOUND BY, THE TERMS. IF YOU DO NOT AGREE TO THE TERMS, CEASE USING THE SITE IMMEDIATELY. 

Your use of the Website is also subject to our Privacy Policy, which describes our policies and practices regarding the collection, use and disclosure of your personal information. 

Applications for Employment.

When completing your application, we do not require, but you may voluntarily choose to provide, other information as part of your application even if not expressly requested. We would prefer that you avoid submitting the following sensitive information, except where such information is legally required, or needed for us to comply with our legal obligations and internal policies relating to diversity and anti-discrimination: medical or health conditions, family medical history, or genetic information.  

Any information you submit must be true, complete, not misleading and you must have the lawful right to provide it. If not, this may lead to a rejection of your application during the application process or disciplinary action including immediate dismissal if you have been employed. If you intend to provide us with details of a reference or any other third party as part of your application, it is your responsibility to obtain consent from that third party prior to passing the personal information to us. If you become an employee, any personal information that you submit may become part of your employment file and may be used for other employment/work-related purposes as permitted by local law.

To carry out the purposes outlined above, we may share information with third parties, such as background check vendors, third-party human resources and information technology vendors, cloud service providers, recruiting companies, outside legal counsel, and state or federal governmental agencies. In addition, by submitting your application and to the extent permitted by law, you authorize Shamrock to conduct its own investigation of your references, employment history and education, and authorize designated references and prior employers to provide Shamrock information related to your employment history and qualifications for the position for which you are applying, without prior notice. 

Permissible Use. 
The Website is operated by Shamrock, in part, to support its recruitment efforts. The Website is not intended for distribution or use in any jurisdiction or country where such distribution or use would be contrary to local law or regulation. Also, this Website does not extend binding offers or terms or conditions of employment. Any employment offer that may result from your submitting information in response to a job opening listed on this Website is in accordance with the specific terms of that offer and is not based in any way on the description of the job on this Website. Except as otherwise prohibited by law, nothing on this Website shall be construed as a contract of employment or as a guarantee of continued employment or employment for any specific duration. Employment with Shamrock is "at will" (except, with respect to Montana associates, to the extent applicable law does not recognize, or limits, at-will employment) and that generally cannot be modified by an employee or representative of Shamrock. This means if you are hired, either you or Shamrock can separate your employment at any time without notice or cause. It also means that your wages, hours, working conditions, compensation rate and other conditions and benefits of employment will be subject to change by Shamrock.

You may not modify, copy, distribute, create derivative works of, transmit, display, perform, reproduce, publish, license, scrape, transfer, frame in another web page or sell any information, software, products or services obtained from this Website, without express, written permission from Shamrock.

Shamrock grants you a limited, nonexclusive, nontransferable and revocable license to use the information on the Website for your internal use subject to your compliance with the Terms. Any unauthorized use of any materials on this Website may violate copyright, trademark, and other laws. Shamrock, its affiliates and designated representatives may make changes to these materials, or to the products described therein, at any time without notice. Shamrock makes no commitment to update the materials in real time after posting. The materials provided on this Website are not intended to be comprehensive and may not be current.

SHAMROCK MAKES NO REPRESENTATION, WARRANTY, CONDITIONS OR GUARANTEES REGARDING THE ACCURACY, RELIABILITY, CAPABILITY, AVAILABILITY, COMPATIBILITY, TIMELINESS, QUALITY, SUITABILITY OR ERROR-FREE UNINTERRUPTED SERVICES AS TO THE OPERATION OF THE WEBSITE. YOU AGREE THAT USE OF THE WEBSITE IS ENTIRELY AT YOUR OWN RISK. 

Basis of the Bargain.

The limitation on damages and disclaimer of warranties set forth above are essential to the agreement concerning the Terms between you and Shamrock, and the same form an essential basis of the bargain between the parties.

Indemnification.

You agree to defend and indemnify Shamrock and its affiliates, and their respective officers, directors, shareholders, employees, associates, agents, content and service providers and licensors (each an “Indemnified Party”), and to hold them harmless for, from and against any and all claims, liabilities and expenses (including reasonable attorney’s fees) that may arise from (i) the use or alleged use of this Website by you or any person using your registration information, whether or not authorized by you, or (ii) any breach by you of this agreement, including without limitation any actual or alleged violation of any law, rule or regulation. Each Indemnified Party reserves the right, at its own expense, to participate in the defense of any matter subject to indemnification by you, and in such case, you agree to cooperate with such Indemnified Party in the defense of such claim. The obligations in this provision will survive the termination of this agreement.

Termination.

Shamrock reserves the right, in its sole discretion, to restrict, suspend or terminate access to all or any part of the Website at any time for any reason without prior notice or liability. Shamrock may change, suspend or discontinue all or any aspect of the Website at any time, including the availability of any feature, database, information or content without prior notice or liability. However, in the case of any termination, you agree to continue to abide by these Terms, which shall remain in full force and effect after such termination, except that your right to use the Website shall be terminated.

Miscellaneous.

These Terms agreement shall be construed in accordance with the laws of the State of Arizona, and the parties irrevocably consent to the jurisdiction of, and to bring any action to enforce the Terms in, the federal or state courts located in Phoenix, Arizona. The prevailing party in such litigation shall be entitled to recover, in addition to such other relief as the court may award, its reasonable attorneys’ fees, expert witness fees, and court or other costs incurred in such litigation. These Terms constitute the entire agreement between the parties with respect to the subject matter hereof, and supersedes all previous written or oral agreements between the parties with respect to such subject matter. If any inconsistency exists between the Terms and any additional terms and conditions posted on the Website, such Terms shall be interpreted as to eliminate any inconsistency, if possible, and otherwise, the additional terms and conditions shall control. The provisions of the Terms will be deemed severable, and the invalidity or unenforceability of any provision will not affect the validity or enforceability of the other provision hereof. Any provision determined to be invalid or unenforceable will be modified, to the extent possible, to be valid and enforceable so as to retain the intent of the parties. Shamrock’s failure to monitor or enforce a provision in the Terms does not constitute a waiver of its right to do so in the future with respect to that provision, any other provision, or this agreement as a whole.

Copyrights.

If you believe that your work has been copied in a way that constitutes copyright infringement, please provide Shamrock’s copyright agent the following information:

an electronic or physical signature of the person authorized to act on behalf of the owner of the copyright interest;
a description of the copyrighted work that you claim has been infringed;
a description of where the material that you claim is infringing is located on the site;
your address, telephone number, and email address;
a statement by you that you have a good-faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law;
a statement by you, made under penalty of perjury, that the above information in your notice is accurate and that you are the copyright owner or authorized to act on the copyright owner’s behalf.
